These Terms & Conditions ("Terms") govern the use of the Digimarketlabs website and the provision of inbound marketing, SEO, AIO, GEO, CRO, SMO, SEM, email marketing and related digital marketing services ("Services") by Digimarketlabs ("we", "us", "our") to any individual or organization engaging our Services ("Client", "you").
1. Acceptance of Terms
By engaging Digimarketlabs, submitting an inquiry, signing a proposal, or using this website, you agree to be bound by these Terms. If you do not agree, please do not use our Services or this website.
2. Scope of Services
Services are defined in a written proposal, statement of work, or service agreement specific to each engagement. Any service not explicitly included in the agreed scope is considered out of scope and may be billed separately upon mutual written agreement.
3. No Guaranteed Rankings or Results
Search engine rankings, AI Overview citations, traffic and conversion outcomes depend on factors outside our control, including algorithm changes by Google, Microsoft, OpenAI and other platforms, competitor activity, and client-side implementation timelines. We do not guarantee specific rankings, traffic volumes, citation frequency, or revenue outcomes. We commit to best-practice execution and transparent reporting.
4. Client Responsibilities
- Providing timely access to website, analytics, search console, and CMS platforms as required.
- Reviewing and approving deliverables within agreed timeframes.
- Implementing agreed technical or content recommendations where implementation falls outside our scope.
- Providing accurate information about products, services, and business goals.
5. Fees & Payment
Fees are outlined in the applicable proposal or invoice. Unless otherwise agreed, retainer fees are billed monthly in advance, and one-time engagements (audits, consulting) are billed per the agreed schedule. Late payments may result in pause of active work until settled.
6. Engagement Term & Cancellation
Retainer engagements typically run on a minimum initial term as stated in the proposal, followed by month-to-month terms with 30 days' written notice required for cancellation by either party. One-time engagements conclude upon delivery of agreed deliverables.
7. Intellectual Property
Upon full payment, content, copy and creative assets produced specifically for the Client become the Client's property. Digimarketlabs retains the right to reference completed work, in anonymized or generalized form, for portfolio and case study purposes unless otherwise agreed in writing.
8. Confidentiality
Both parties agree to keep confidential business information, analytics data, and strategy documents private, and not disclose them to third parties without written consent, except as required by law.
9. Third-Party Platforms
Services may involve third-party platforms (e.g., Google Search Console, Semrush, Ahrefs, advertising platforms). We are not responsible for outages, policy changes, or data limitations of third-party platforms.
10. Limitation of Liability
To the extent permitted by law, Digimarketlabs' total liability for any claim arising from the Services is limited to the fees paid by the Client for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost rankings.
11. Termination
Either party may terminate an engagement for material breach not remedied within 14 days of written notice. Fees for work completed up to the termination date remain payable.
12. Governing Law
These Terms are governed by the laws of India, with courts in Chennai, Tamil Nadu having exclusive jurisdiction over any disputes, unless otherwise agreed in writing.
13. Changes to These Terms
We may update these Terms from time to time. Continued use of our Services after changes are posted constitutes acceptance of the revised Terms.
